Job Description

Job SummaryThe Legal Manager will be responsible for overseeing all legal affairs in Egypt, serving as a critical strategic partner to the executive management team.

This role requires a highly experienced professional with a robust background in the corporate sector, a deep understanding of Egyptian law, and specialized expertise in construction contracts (FIDIC), complex dispute resolution, and regulatory compliance, particularly in investment and licensing. A proven track record from a law firm environment is essential for leveraging best-practice legal strategies.

Key ResponsibilitiesCorporate, Compliance, and Commercial ManagementCorporate Governance: Oversee all corporate legal matters, including the drafting of ordinary and extra-ordinary general assembly minutes, managing the commercial register, company licensing, and advising on corporate structuring and any amendments to the Articles of Association (AOA) in compliance with the Egyptian Companies Law and relevant authorities (e.g., GAFI).Investment & Licensing: Manage and secure all necessary investment approvals, commercial licenses, operating permits, and regulatory registrations for all company activities in Egypt, liaising directly with government and regulatory bodies (e.g., GAFI, Industrial Development Authority, etc.).Contract Management: Draft, review, and negotiate a wide range of complex commercial contracts, including but not limited to vendor agreements, supply agreements, services agreements, and major project contracts.Insurance: Provide legal review and advice on all corporate and project insurance policies, claims, and related legal risks to ensure comprehensive coverage and effective claim resolution.Compliance & Risk: Develop, implement, and monitor internal policies and procedures to ensure full compliance with all local and international laws, managing legal risk across all business functions.

Dispute Resolution (Litigation, Arbitration, and Claims)Dispute Strategy: Formulate and execute legal strategies for all claims and disputes against or involving the company.Litigation Management: Manage and oversee all litigation proceedings in Egyptian courts, coordinating effectively with and supervising external counsel.Arbitration Expertise: Actively manage the company's involvement in commercial arbitration proceedings (both domestic and international), preparing submissions, and advising on procedural and substantive legal issues.Claims Management: Oversee the legal aspects of complex claims and settlements, ensuring the company's interests are vigorously defended or pursued.

Specialized Construction and Employment LawFIDIC Contracts: Possess expert knowledge and practical experience in drafting, reviewing, negotiating, and administering contracts based on FIDIC (Fédération Internationale des Ingénieurs-Conseils)

Forms of Contract.

This includes advising on contractual rights, obligations, dispute resolution clauses, and claims under various FIDIC books (e.g., Red, Yellow, Silver).Labour Law: Ensure full compliance with the Egyptian Labour Law (Law No. 12 of 2003) and Social Insurance Law.

Provide legal guidance on employment contracts, disciplinary actions, internal investigations, labor disputes, terminations, and employee grievances.

Required Qualifications and ExperienceEducationBachelor's Degree in Law (LLB) from a reputable Egyptian University.Master’s degree or professional certification in a relevant area (e.g., Commercial Law, Arbitration, or International Law) is a strong plus.Licensed to practice law in EgyptProfessional Experience Minimum of 8-12 years of post-qualification legal experience with a significant focus on corporate legal practice.Solid Corporate Experience: Proven track record in a corporate legal department or as an in-house counsel, managing a full spectrum of commercial and corporate matters.Law Firm Background : Previous experience working for a recognized Egyptian or international law firm is a mandatory requirement, providing a strategic litigation and advisory foundation.Specialized Expertise: Demonstrated practical experience in the following specific areas:Litigation and Arbitration (managing high-value cases).FIDIC contract administration and dispute management.Egyptian Labour Law compliance and dispute resolution.Investment and Licensing procedures with Egyptian regulatory bodies.

Skills and CompetenciesBilingual Fluency: Exceptional verbal and written communication skills in both Arabic and English (required for drafting legal documents and negotiations).Analytical & Strategic Thinking: Ability to analyze complex legal issues, anticipate risks, and provide pragmatic, business-oriented legal solutions.Leadership: Strong leadership skills with the ability to manage and mentor a legal team and effectively coordinate with cross-functional departments and external counsel.Integrity: Unwavering commitment to the highest standards of ethics and professional integrity.Negotiation: Excellent negotiation and conflict resolution skills.
